Welcome to TravelTrippa Inc. ("TravelTrippa," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website, mobile application, and other online services (collectively, the "Services").


Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Services.


We reserve the right, at our sole discretion, to change or modify these Terms at any time. If we make changes to these Terms, we will provide notice of such changes, such as by sending an email notification, providing a notice through the Services, or updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after the effective date of any changes to these Terms constitutes your acceptance of the revised Terms.


1. Eligibility
The Services are intended for use by individuals who are 18 years of age or older. By using the Services, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a contract.


2. Use of the Services
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate TravelTrippa, a TravelTrippa employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm TravelTrippa or users of the Services or expose them to liability.


Additionally, you agree not to:
* Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services, including their ability to engage in real-time activities through the Services.

* Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
* Use any manual process to monitor or copy any of the material on the Services or for any other unauthorized purpose without our prior written consent.
* Use any device, software, or routine that interferes with the proper working of the Services.
* Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
* Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
* Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
* Otherwise attempt to interfere with the proper working of the Services.


3. User Accounts
In order to access certain features of the Services, you may be required to create an account and provide certain information about yourself (such as your name, email address, and a password). You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.


You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.
We reserve the right to terminate accounts, remove or edit content, or cancel orders in our sole discretion and without notice.


4. User Content
The Services may allow you to post, upload, publish, submit, or transmit content, including but not limited to text, photos, videos, and audio (collectively, "User Content"). You are solely responsible for your User Content and the consequences of posting or publishing it.
By posting or publishing User Content on or through the Services, you represent and warrant that:


* You are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to your User Content to enable inclusion and use of the User Content in the manner contemplated by the Services and these Terms.
* The User Content does not and will not infringe, misappropriate, or violate a third party's patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy.
* We reserve the right to remove or disable access to any User Content for any or no reason, including User Content that we believe violates these Terms or our policies.
* We also have the right to disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
* We have the right, but not the obligation, to monitor and edit or remove any User Content.
* We do not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with User Content.


5. Intellectual Property
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by TravelTrippa, its licensors, or other providers of such material and are protected by United States and international copyright and trademark laws.
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services and to download or print a copy of any portion of the content to which you have properly gained access solely for your personal, non-commercial use.


You must not:
Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:


* Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
* You may store files that are automatically cached by your web browser for display enhancement purposes.
* You may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
* Use any illustrations, photographs, video, or audio sequences, or any graphics separately from the accompanying text.
* Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.
* Use any part of the Services for commercial purposes without obtaining a license to do so from us or our licensors.


If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of these Terms, your right to use the Services will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Services or any content on the Services is transferred to you, and all rights not expressly granted are reserved by us.


Any use of the Services not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

TravelTrippa and other marks indicated on our Services are trademarks of TravelTrippa Inc. or its affiliates or licensors. You are not permitted to use these marks without the prior written consent of TravelTrippa.


7. Third-Party Links and Content
The Services may contain links to third-party websites, services, and content ("Third-Party Links"). Such Third-Party Links are not under the control of TravelTrippa, and TravelTrippa is not responsible for the content of any linked site or any link contained in a linked site. If you access a Third-Party Link, you do so at your own risk. TravelTrippa provides these links only as a convenience and does not endorse the content or services of such sites.


8. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. TravelTrippa makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included on the Services.


To the full extent permissible by applicable law, TravelTrippa disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. TravelTrippa does not warrant that the Services, information, content, materials, products, or other services included on or otherwise made available to you through the Services, servers, or electronic communications sent from TravelTrippa are free of viruses or other harmful components.


9. Limitation of Liability
In no event shall TravelTrippa, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, any websites linked to it, any content on the Services or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.


10. Indemnification
You agree to defend, indemnify, and hold TravelTrippa, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any User Content that you post, upload, publish, submit, or transmit on or through the Services, your use of any products or services purchased through the Services, or your violation of any rights of another.


11. Governing Law and Jurisdiction
These Terms and your use of the Services will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.


Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the then-current rules of the American Arbitration Association. The arbitration shall be conducted in
Los Angeles, California.


12. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.


13. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and TravelTrippa's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.


14. Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and TravelTrippa and govern your use of the Services, superseding any prior agreements between you and TravelTrippa (including, but not limited to, any prior versions of these Terms).

15. NON-COMPETITION AGREEMENT AS A CONDITION OF USING OUR WEBSITE AND SERVICES

This Non-Competition Agreement (the "Agreement") is a binding contract between TravelTrippa Inc (the "Company") and any individual or entity (the "User") who accesses or uses the Company's website (the "Website"). By accessing or using the Website, the User agrees to be bound by the terms and conditions of this Agreement.

WHEREAS, the Company is engaged in the business of providing travel services and has entered into agreements with certain providers and suppliers (the "Suppliers") to facilitate its operations; and

WHEREAS, the User desires to access and use the Website, which may provide access to information about the Company's operations, Suppliers, and customers;

NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements contained herein, the Company and the User hereby agree as follows:

1. Non-Competition. The User agrees that by accessing or using the Website, the User shall not, directly or indirectly, engage in any activity that competes with the business of the Company, including but not limited to providing travel services that are the same as or similar to those provided by the Company, or entering into a business relationship with any of the Company's Suppliers.

2. Non-Solicitation. The User agrees that by accessing or using the Website, the User shall not, directly or indirectly, solicit or attempt to solicit any customer or client of the Company for the purpose of providing travel services that are the same as or similar to those provided by the Company.

3. Non-Disclosure. The User agrees that by accessing or using the Website, the User shall keep confidential all trade secrets, confidential information, and other proprietary information of the Company, including but not limited to information about the Company's operations, Suppliers, and customers.

4. Acknowledgments. The User acknowledges and agrees that the restrictions contained in this Agreement are reasonable and necessary to protect the Company's legitimate business interests, and that any breach of this Agreement will result in irreparable harm to the Company.

5. Termination. The Company reserves the right to terminate the User's access to the Website at any time and for any reason, including but not limited to a violation of this Agreement.

6. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of California - U.S.A.

7. Jurisdiction. Any legal action arising out of or relating to this Agreement shall be brought in the courts of California - U.S.A.

8. Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected.

9. Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

By accessing or using the Website, the User acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Non-Competition Agreement.



16. Influencers Program.
Any users registered in the TravelTrippa Influencers Program automatically agree to the following;


(a) Ownership of A.I. travel portals.
The travel portal provided to the Influencer remains the property of the company. The Influencer is given access to the travel portal based on a lease/rental arrangement for a payment or a monthly fee or a split in the revenue from the travel portal.

(b) Termination of Access.
If the Influencer defaults on the payment of monthly subscriptions or fails to use their influence or fails to convert the followers into sales during the term of each month of the subscribed plan the Influencer signed up to - the company will terminate access to the site portal after giving 30 days notice to the influencer.

(c) Use of the travel portal after termination.
If the company terminates access of the travel portal this means that the Influencer will no longer operate/engage in any further business using the company brand and the Influencer will comply with all sections to this Terms of Use agreement and in particular Item 15. "NON-COMPETITION AGREEMENT AS A CONDITION OF USING OUR WEBSITE"

(d) Transfer of all assets back to the company.
If the company terminates access of the travel portal, all assets will be withdrawn - travel portals, domain names, domain registers, databases, emails, subscriber lists and any other content generated by the influencer. The company will continue to promote the travel portal internally until it transfers it to a new Influencer.

(e) Trasfer of all assets to a new Influencer.
The company can at its discretion transfer the assets withrawn/terminated from one Influencer to another.
